1. Definitions

| Software | The H.E.Rv3 electronic health record application, including all updates, patches, and documentation |
| Authorised User | An individual employee, contractor, or agent of the Customer granted access to the Software |
| Customer | The organisation (clinic, GP practice, NHS trust, or other healthcare provider) that has licensed the Software |
| Clinical Data | Patient records, diagnoses, medications, lab results, clinical notes, and other health information processed using the Software |
2. Licence Grant
Subject to these terms, H.E.Rv3 grants you a personal, non-exclusive, non-transferable, revocable licence to use the Software solely in your capacity as an Authorised User, for the Customer's internal clinical and administrative operations, in accordance with the Documentation. H.E.Rv3 retains all intellectual property rights in the Software.
3. Permitted Use
- Access the Software using your assigned credentials
- Use the Software to create, view, update, and manage patient records within your role
- Export patient records in FHIR R4 format for care coordination and data portability
- Use AI/CDS features to inform clinical decisions — subject to Section 7
4. Restrictions
You must not:
- Share your login credentials with any other person
- Access patient records outside your clinical or administrative role
- Copy, modify, reverse-engineer, decompile, or disassemble any part of the Software
- Remove or alter any copyright, trademark, or proprietary notices
- Use the Software to process data for any purpose other than the Customer's clinical operations
- Transmit or upload any malicious code, virus, or harmful data
- Attempt to gain unauthorised access to any part of the Software or its infrastructure
5. Account Security
You are responsible for keeping your credentials confidential, all activities under your account, enabling MFA where required, logging out on shared devices, and reporting any suspected breach to your IT team and to qnicktech@gmail.com immediately.
6. Patient Data and Privacy
Clinical Data is Special Category Data (UK GDPR) and Protected Health Information (HIPAA) and carries the highest level of legal protection. You may only access patient records within your role and in accordance with your Customer's data access policies. All access is logged in an append-only audit trail.
Break-glass access is logged, time-stamped, and requires a mandatory justification. Misuse is a serious breach of this EULA and professional obligations.
7. Clinical Safety and AI Features
AI outputs are informational only. All AI-powered clinical decision support outputs — including drug interaction alerts, risk scores, diagnostic suggestions, and clinical summaries — are provided to assist clinical judgement. They are not diagnoses, prescriptions, or clinical decisions.
Clinician responsibility. You are responsible for all clinical decisions. Evaluate AI suggestions independently in the context of the patient's full clinical picture before acting on them.
No automatic actions. The Software will never automatically write an AI suggestion to a patient record or send a prescription without explicit clinician confirmation.
Failsafe. If any AI feature is unavailable, clinical documentation must continue without it. Never delay care because an AI feature is offline.
8. Intellectual Property
The Software is the exclusive property of H.E.Rv3 and is protected by copyright law. You acquire no rights other than the limited use rights granted in this EULA.
9. Updates and Changes
H.E.Rv3 may update the Software and this EULA from time to time. Continued use after an update constitutes acceptance. We will notify users of material EULA changes.
10. Termination
Your rights terminate automatically if you cease to be an Authorised User, if the Customer's agreement with H.E.Rv3 is terminated, or if you breach any term of this EULA. On termination, stop using the Software and delete any local copies.
11. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS". TO THE MAXIMUM EXTENT PERMITTED BY LAW, H.E.Rv3 DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED. Nothing in this clause excludes liability that cannot be excluded under applicable law, including the Consumer Rights Act 2015.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, H.E.Rv3'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOUR CUSTOMER IN THE TWELVE MONTHS PRECEDING THE CLAIM. H.E.Rv3 SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. Nothing excludes liability for death or personal injury caused by negligence, or fraud.
13. Governing Law
This EULA is governed by the law of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales. For US-based users, nothing in this EULA limits patient rights under HIPAA or applicable state health privacy laws.
